1. Introduction and Agreement to Terms

Welcome to NurseCloze, operated by GLP-1 Marketing Solutions LLC, doing business as NurseCloze ("NurseCloze," "we," "us," or "our"). By accessing or using our website, application, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and GLP-1 Marketing Solutions LLC.

2. Eligibility and Account Security

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately at support@nursecloze.com if you suspect unauthorized use of your account.

3. Description of Service and AI Disclaimers

3.1 Service Description

NurseCloze is an educational technology platform that uses artificial intelligence to convert uploaded documents (such as lecture slides and study materials) into Anki-compatible cloze-deletion flashcards.

3.2 Medical Disclaimer

NurseCloze is an educational tool only. It is not a substitute for professional medical training, clinical instruction, medical diagnosis, or professional healthcare advice. The flashcards generated by NurseCloze should be used as a supplementary study aid and should not be relied upon as the sole source of medical education or exam preparation.

3.3 AI Output Disclaimer

NurseCloze uses artificial intelligence to generate flashcard content from your uploaded documents. AI-generated outputs may contain errors, inaccuracies, omissions, or incomplete information. You acknowledge and agree that:

  • You assume all risk when relying on AI-generated content for study or exam preparation.
  • You are solely responsible for verifying the accuracy of generated flashcards against your source materials.
  • NurseCloze makes no warranties regarding the accuracy, completeness, or reliability of AI-generated outputs.

4. User Content and Copyright

4.1 Ownership

You retain full ownership of the documents and content you upload to the Service ("User Content").

4.2 License to NurseCloze

By uploading User Content, you grant NurseCloze a limited, non-exclusive, revocable license to process, store, and transmit your User Content solely for the purpose of providing the Service to you. We do not use your User Content to train AI models.

4.3 Representations and Warranties

You represent and warrant that you have the legal right, permission, or license to upload and process any documents you submit through the Service. You agree not to upload content that infringes on any third party's intellectual property rights.

4.4 DMCA Takedown

If you believe content on NurseCloze infringes your copyright, please contact us at support@nursecloze.com with the following information:

  • A description of the copyrighted work.
  • The location of the allegedly infringing material.
  • Your contact information.
  • A statement that you have a good-faith belief that use is not authorized.
  • A statement, under penalty of perjury, that the information is accurate and you are the copyright owner or authorized to act on their behalf.

5. Billing, Subscriptions, and Refunds

5.1 Subscription Model

NurseCloze operates on an auto-renewing subscription basis. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.2 Payment Processing

All payments are processed securely through Stripe. NurseCloze does not store your credit card information.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

5.4 Refund Policy

Refunds are evaluated on a case-by-case basis. To request a refund, contact support@nursecloze.com. We reserve the right to grant or deny refund requests at our discretion.

6. Acceptable Use and Academic Integrity

You agree not to:

  • Use the Service to facilitate academic cheating, plagiarism, or misrepresentation of work.
  • Use the Service in violation of any academic institution's honor code or policies.
  • Scrape, crawl, or use automated tools to access the Service outside of the provided user interface.
  • Attempt to bypass, disable, or circumvent any security measures, including Cloudflare protections.
  • Use the Service to generate content that is harmful, illegal, or violates the acceptable use policies of our third-party AI providers (including OpenRouter).
  • Resell, redistribute, or sublicense access to the Service.

7. Account Termination and Data Deletion

7.1 Termination by NurseCloze

We reserve the right to suspend or terminate your account at any time, with or without notice, if we determine that you have violated these Terms or engaged in abusive, fraudulent, or harmful behavior.

7.2 Termination by User

You may delete your account at any time through the application. Upon deletion, your User Content (uploaded documents and generated flashcards) will be permanently removed.

7.3 Inactivity Purge

If your subscription is cancelled and your account remains inactive for 6 months, we will permanently delete all associated User Content, including uploaded documents and generated flashcards. We may send a notification prior to deletion.

8. Trademarks and Third-Party Affiliations

Anki Disclaimer: NurseCloze is an independent tool and is not affiliated with, endorsed by, or sponsored by Anki. "Anki" is a trademark of Ankitects Pty Ltd.

Use of third-party services (Stripe, Cloudflare, OpenRouter) is subject to their respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • NurseCloze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of educational outcomes.
  • Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to NurseCloze in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.
  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Texas.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where appropriate, sending an email notification. Continued use of the Service after changes constitutes acceptance of the revised Terms.
